Corporate and Commercial

The firm advises on a multitude of corporate and commercial matters. The relevant team comprises around 10 lawyers. It is headed by the firm’s Partners, Mr. Michalis Kramvis, Mr. Levon Arakelian and Mrs. Elena Damianou.

What distinguishes the firm’s corporate and commercial practice is its ability to manage the intersection of complex corporate, regulatory and financing issues. The firm advises on transactions involving, amongst other things, the transfer or issuing of shares, transfers of business, mergers and de-mergers, the redomiciliation of companies, the granting of credit and security, debt restructuring and settlement arrangements, the transfer or leasing of immovable property, and the transfer of loan-and-security portfolios, which constitutes a growing area of activity in Cyprus. In this context, the firm can undertake the conduct of legal due diligence, the negotiation, drafting and review of relevant agreements and schemes of arrangement, and the structuring of corporate actions. Ongoing advisory support can cover institutional documentation, regulatory compliance, post-acquisition integration and the like.

Where corporate and commercial transactions give rise to regulatory proceedings or administrative challenges, the firm draws upon the knowledge and expertise of its constitutional and administrative law team, which gives the firm a dynamic that few other firms in Cyprus can muster.

Over the years, the firm has advised on what are probably the biggest transactions in the modern history of Cyprus, including a Cypriot bank’s transfer of a loan-and-security portfolio for a consideration of around EUR 1.2 Billion and a Cypriot bank’s capital increase of the order of around EUR 1 Billion.
